1. Acceptance of Terms

1.1 Agreement Formation

By clicking "Accept," "Agree," "Sign Up," or similar, or by downloading, installing, accessing, or using SheraChat in any manner, you enter into a binding legal agreement with SheraAI Technologies. This agreement is effective as of the date you first access or use SheraChat.

1.2 Capacity to Contract

You represent and warrant that you have the legal capacity to enter into binding contracts. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1.3 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via:

• In-app notification at least 30 days before the effective date
• Email notification (if you provided an email address)
• Prominent notice on our website

Continued use of SheraChat after the effective date constitutes acceptance of modified Terms. If you disagree with modifications, your sole remedy is to discontinue use and delete your account.

2. Definitions

For the purposes of this Agreement:

• "SheraChat" or "Application" means the SheraChat mobile application, web application, desktop application, and all related services, features, and functionalities
• "Service" means all services provided through SheraChat including messaging, calls, AI features, and related functionalities
• "User Content" means any content, materials, or information you create, upload, share, or transmit through SheraChat
• "Platform" means the underlying technology, infrastructure, and systems powering SheraChat
• "Company IP" means all intellectual property owned by SheraAI Technologies
• "Third-Party Services" means external services integrated with or accessible through SheraChat

3. Eligibility Requirements

3.1 Age Requirements

• You must be at least 13 years old to use SheraChat
• If you are in the European Union, you must be at least 16 years old
• If you are between 13-18 (or the age of majority in your jurisdiction), you must have parental or guardian consent

3.2 Legal Eligibility

You represent and warrant that:

• You are not legally prohibited from using messaging services
• You have not been previously banned from SheraChat
• You are not on any government restricted persons or sanctions list
• You will comply with all applicable local, state, national, and international laws

3.3 Geographic Restrictions

SheraChat is available internationally. However, use may be restricted in certain jurisdictions due to local laws or sanctions. You are responsible for compliance with local laws.

4. Account Registration & Security

4.1 Registration Requirements

• You must register with a valid mobile phone number that you own or control
• You must provide accurate, current, and complete registration information
• You must keep your registration information updated
• One account per person - multiple accounts are prohibited
• Account sharing is prohibited

4.2 Account Security

• You are solely responsible for maintaining the confidentiality of your account
• You must immediately notify us of any unauthorized access or security breach
• You are responsible for all activities that occur under your account
• We recommend enabling biometric lock and two-factor authentication

4.3 Account Recovery

Account recovery is limited to phone number verification. Due to end-to-end encryption, we cannot recover your messages if you lose access to your device. Regular backups are recommended.

5. License Grant

5.1 Limited License to Use

Subject to your compliance with these Terms, SheraAI Technologies grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install SheraChat on devices you own or control
• Access and use SheraChat for personal, non-commercial purposes
• Use SheraChat features in accordance with their intended purpose

5.2 License Restrictions

You may NOT:

• Copy, modify, adapt, or create derivative works of SheraChat
• Reverse engineer, decompile, disassemble, or attempt to extract source code
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Sublicense, sell, resell, rent, lease, or transfer your rights
• Use SheraChat for any commercial purpose without written consent
• Access SheraChat through automated means (bots, scrapers, crawlers) without permission

5.3 Open Source Components

SheraChat may include open source software components governed by their respective licenses. A list of open source components and their licenses is available upon request.

6. Acceptable Use Policy

6.1 Lawful Use Only

You agree to use SheraChat only for lawful purposes and in accordance with these Terms. You must comply with all applicable laws, regulations, and third-party rights.

6.2 Respectful Communication

You agree to communicate respectfully and not engage in behavior that:

• Harasses, bullies, intimidates, or threatens others
• Promotes discrimination or hatred based on protected characteristics
• Violates the privacy or rights of others
• Deceives or misleads other users

6.3 Security Compliance

You agree NOT to:

• Attempt to bypass, disable, or circumvent security features
• Probe, scan, or test vulnerabilities without authorization
• Interfere with the proper functioning of SheraChat
• Overload, flood, or spam our infrastructure
• Introduce malware, viruses, or harmful code

7. Prohibited Activities & Content

7.1 Absolutely Prohibited Content

• Child Sexual Abuse Material (CSAM): Any content depicting minors in sexual situations - immediately reported to NCMEC and law enforcement
• Non-Consensual Intimate Images: Sharing intimate images without consent ("revenge porn")
• Terrorism & Violence: Content promoting terrorism, extremism, or graphic violence
• Exploitation: Human trafficking, exploitation, or slavery content

7.2 Prohibited Activities

• Illegal Activities: Using SheraChat for any illegal purpose
• Fraud & Scams: Phishing, financial fraud, impersonation scams
• Spam: Unsolicited bulk messages, commercial solicitation without consent
• Harassment: Targeted harassment, cyberstalking, doxxing
• Hate Speech: Content promoting hatred against protected groups
• Self-Harm: Content promoting suicide or self-harm
• Illegal Trade: Drug trafficking, weapon sales, counterfeit goods
• Malware Distribution: Sharing viruses, malware, or malicious links
• Account Abuse: Creating fake accounts, automated accounts, or account farms
• Platform Abuse: Manipulating or exploiting SheraChat systems

7.3 Content Moderation

Due to end-to-end encryption, we cannot monitor or access private message content. We rely on:

• User reports of policy violations
• Metadata analysis for spam detection
• Behavioral pattern analysis
• Cooperation with law enforcement for serious crimes

7.4 Reporting Violations

You can report policy violations through in-app reporting or by emailing abuse@shera-ai.com. We investigate all credible reports and take appropriate action.

8. User Content

8.1 Ownership

You retain ownership of all content you create and share through SheraChat. SheraAI Technologies claims no ownership rights over your User Content.

8.2 License to SheraAI Technologies

By sharing content through SheraChat, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Transmit, store (encrypted), and deliver your content to intended recipients
• Create backups of your content (encrypted) as configured by you
• Format or technically process content for compatibility

This license exists solely to enable service provision. We do NOT use your content for advertising, marketing, or any purpose other than providing SheraChat services.

8.3 Content Responsibility

You are solely responsible for:

• All content you create, upload, share, or transmit
• Ensuring you have rights to share content
• Compliance with copyright, trademark, and other laws
• Consequences of sharing content

8.4 Content Warranty

You represent and warrant that:

• You own or have necessary rights to all content you share
• Your content does not violate any third-party rights
• Your content complies with all applicable laws
• Your content does not violate these Terms

9. AI Features & Limitations

9.1 AI Feature Description

SheraChat includes AI-powered features including:

• Smart reply suggestions
• Grammar and writing enhancement
• Translation services
• AI chatbot conversations

9.2 AI Limitations & Disclaimers

• AI suggestions are automated and may not be accurate or appropriate
• AI does not understand context perfectly and may misinterpret
• AI may occasionally produce biased, offensive, or incorrect output
• You are responsible for reviewing and editing AI suggestions before sending
• You are legally responsible for all content you send, including AI-suggested content
• AI features may change, degrade, or be discontinued without notice
• We are not liable for actions taken based on AI suggestions

9.3 AI Data Processing

• AI features may process text through third-party AI providers (OpenAI)
• AI processing is subject to third-party terms and privacy policies
• We do not use your private messages to train AI models
• You can disable AI features in Settings

10. Intellectual Property Rights

10.1 SheraAI Technologies IP

All rights, title, and interest in and to SheraChat, including but not limited to:

• The SheraChat name, logo, and brand elements
• Software code, architecture, and underlying technology
• User interface design and visual elements
• Documentation and marketing materials
• Patents, trademarks, copyrights, and trade secrets

are and shall remain the exclusive property of SheraAI Technologies and/or its licensors.

10.2 Trademark Policy

• "SheraChat," "SheraAI," and associated logos are trademarks of SheraAI Technologies
• You may not use our trademarks without prior written consent
• You may not register any domain, social media, or username confusingly similar to our marks

10.3 Copyright Infringement

If you believe content on SheraChat infringes your copyright, contact us at legal@shera-ai.com with a detailed notice including:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• Statement of good faith belief
• Statement of accuracy under penalty of perjury
• Your physical or electronic signature

10.4 Feedback

If you provide feedback, suggestions, or ideas ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into SheraChat without any obligation to you.

11. Privacy & Data Protection

Your privacy is important to us. Please review our comprehensive Privacy Policy which is incorporated into these Terms by reference. Key points:

• We use end-to-end encryption for private communications
• We cannot read your encrypted messages
• We do not sell your personal data
• We comply with GDPR, CCPA, and other privacy regulations

12. Third-Party Services

12.1 Third-Party Integrations

SheraChat integrates with third-party services including:

• Firebase (Google): Backend infrastructure, authentication, database, analytics
• OpenAI: AI-powered features
• Cloud Storage: Backup services

12.2 Third-Party Terms

Third-party services are governed by their own terms of service and privacy policies. We are not responsible for third-party practices. You should review third-party terms before using integrated features.

12.3 External Links

SheraChat may contain links to external websites. We do not control or endorse external sites and are not responsible for their content or practices.

13. Service Availability

13.1 No Guarantee of Availability

• We strive for high availability but do NOT guarantee uninterrupted service
• Service may be interrupted for maintenance, updates, or technical issues
• We are not liable for any unavailability or downtime

13.2 Service Modifications

We reserve the right to:

• Modify, update, or enhance SheraChat features
• Discontinue features with reasonable notice
• Impose limits on usage to ensure service quality
• Terminate the service entirely with 30 days notice

13.3 Beta Features

Beta or experimental features are provided "as is" without warranties. They may be unstable, incomplete, or removed without notice.

14. Account Termination

14.1 Your Right to Terminate

You may delete your account at any time through Settings > Account > Delete Account. Upon deletion:

• Your account is immediately deactivated
• Your profile is removed from visibility
• Your server-side data is deleted within 30 days
• Messages in recipients' devices are NOT deleted (encrypted locally)

14.2 Our Right to Terminate

We may suspend or terminate your account immediately and without notice if you:

• Violate these Terms or any of our policies
• Engage in illegal activities
• Create risk or potential legal exposure for us
• Engage in fraudulent or abusive behavior
• Provide false registration information

14.3 Effect of Termination

Upon termination:

• Your license to use SheraChat is immediately revoked
• You must stop using SheraChat
• Provisions that should survive termination will survive (disclaimers, limitation of liability, indemnification, dispute resolution)

14.4 Inactive Accounts

Accounts inactive for more than 12 months may be subject to deletion after notification attempt.

15. Disclaimers

15.1 "As Is" Provision

SHERACHAT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

15.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERAAI TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied Warranties: Merchantability, fitness for a particular purpose, non-infringement
• Accuracy: We do not warrant that information is accurate, complete, or current
• Reliability: We do not warrant uninterrupted, timely, secure, or error-free operation
• Results: We do not warrant that results will meet your expectations
• Viruses: We do not warrant that SheraChat is free of viruses or harmful components
• Third Parties: We do not warrant third-party services or content

15.3 No Professional Advice

SheraChat is not a substitute for professional advice. AI features do not constitute legal, medical, financial, or other professional advice. Consult qualified professionals for specific needs.

15.4 User Content Disclaimer

We do not control, verify, or endorse user-generated content. We are not responsible for any User Content, including content that may be offensive, harmful, or inaccurate.

16. Limitation of Liability

16.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHERAAI TECHNOLOGIES, SHAHEER, OR ANY AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Cost of substitute services
• Personal injury or property damage
• Any damages arising from:
  • Your use or inability to use SheraChat
  • Any unauthorized access to your data
  • Any third-party conduct or content
  • Any User Content
  • Service interruptions or errors

16.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF:

• One Hundred US Dollars ($100.00 USD), OR
• The amount you paid to us (if any) in the 12 months preceding the claim

16.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16.4 Essential Purpose

The limitations in this section apply even if any limited remedy fails of its essential purpose.

17. Indemnification

17.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless SheraAI Technologies, Shaheer, and all affiliates, directors, officers, employees, consultants, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:

• Your use of SheraChat
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your User Content
• Your violation of any applicable law or regulation
• Any misrepresentation made by you

17.2 Defense and Control

We reserve the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of such claims.

18. Dispute Resolution

18.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@shera-ai.com to attempt informal resolution. Most disputes can be resolved through good-faith negotiation.

18.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles.

18.3 Arbitration Agreement

PLEASE READ CAREFULLY: Any dispute arising from or relating to these Terms or SheraChat shall be finally resolved by binding arbitration, rather than in court, except you may assert claims in small claims court if eligible.

• Arbitration shall be conducted in accordance with applicable arbitration rules
• The arbitrator's decision shall be final and binding
• Judgment may be entered in any court of competent jurisdiction

18.4 Class Action Waiver

YOU AND SHERAAI TECHNOLOGIES AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18.5 Time Limitation

Any claim or cause of action arising from these Terms or SheraChat must be filed within ONE (1) YEAR after the claim arose, or it will be permanently barred.

18.6 Injunctive Relief

Notwithstanding the above, SheraAI Technologies may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and SheraAI Technologies regarding SheraChat, superseding any prior agreements.

19.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet outages.

19.6 Notices

We may provide notices through in-app notifications, email, or posting on our website. Notices to us should be sent to legal@shera-ai.com.

19.7 Headings

Section headings are for convenience only and have no legal effect.

19.8 Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions shall survive termination.
